1. One-Time Startup Costs (Initial Filing)

The "Total Startup" figure represents the cost to legally create your entity with the state. It includes:

  • State Filing Fee: This is the mandatory fee paid directly to the Secretary of State’s office. It varies by state and entity type (LLC vs. C-Corp). For example, Kentucky charges only $40, while Tennessee charges $300.
  • Registered Agent (Year 1): Most states require a Registered Agent (a person or service authorized to receive legal documents on behalf of your business). If you do not have a physical address in the state of formation, you must hire a commercial agent. Our calculator uses the average market rate ($75–$200/year) depending on the state’s complexity.
    • Note: In some states (like New York), publication requirements may add significant hidden costs not included in the base filing fee.
  • Expedited Processing Fees: Standard processing can take 2–4 weeks. If you select "Expedited" or "Rush," additional state fees apply for 24-hour or same-day processing. These fees are set by the state and are non-refundable.
